Welcome to Oakwell Commercial Partners ("we," "us," or "our"). These Terms of Service govern your access to and use of oakwellcommercialpartners.com (the "Site") and our services. PLEASE READ CAREFULLY. BY ACCESSING OR USING THE SITE, OR BY SUBMITTING INFORMATION THROUGH OUR LEAD FORMS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THIS SITE.
1. Nature of Services (We Are Not a Lender)
Oakwell is a commercial finance consulting and lead generation firm. We are NOT a bank, direct lender, or financial institution. Our role is to collect your business financing needs and connect you with third-party accredited lenders, financial intermediaries, and factors ("Funding Partners"). We do not make credit decisions or loan approvals; all such decisions are made solely by Funding Partners (such as Commercial Finance Partners). Submission does not guarantee financing, specific rates, or advance amounts.
2. User Eligibility
- Services are exclusively for businesses and commercial purposes (B2B), not personal or household use.
- You are at least 18 years of age.
- You are the authorized owner or representative of the business listed in your application.
3. Accuracy of Information
You agree all information you provide (including AR aging, revenue, and contact details) is true, accurate, current, and complete. Providing false or misleading financial data may constitute fraud; we may terminate our relationship and report material misrepresentations to Funding Partners.
4. Consent to Communication (TCPA Disclosure)
By filling out a form, you expressly consent to communications from Oakwell and designated Funding Partners via telephone, email, SMS/text, or prerecorded voice messages regarding your financing request or additional documentation (e.g., invoices, bank statements). You may opt out of marketing messages at any time via unsubscribe links or replying "STOP" to texts.
5. Data Sharing and Third Parties
To provide services, we must share the information you submit with Funding Partners to evaluate eligibility for factoring or asset-based lending. We are not responsible for the acts, omissions, or privacy practices of these third-party lenders. Once connected, your relationship is governed by their terms and policies.
6. Intellectual Property
All Site content (text, graphics, logos, code) is the property of Oakwell and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
7. Disclaimers and Limitation of Liability
The Site and services are provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, Oakwell disclaims liability for damages from Site use, failure to secure financing, dissatisfaction with Funding Partner terms, or errors/interruptions in data transmission. Oakwell is not liable for indirect, incidental, special, or consequential damages (including lost profits or business interruption).
8. Indemnification
You agree to indemnify, defend, and hold harmless Oakwell, its officers, directors, and agents from claims, liabilities, damages, and expenses (including legal fees) arising out of your violation of these Terms, misuse of the Site, or the content/financial data you submit.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Texas.
